1. Introduction
Welcome to Savanna Trade SARL (“Savanna Trade,” “we,” “our,” or “us”). These Terms and Conditions (“Terms”) govern your access to and use of the services, websites, applications, and platforms operated by Savanna Trade SARL, including but not limited to:
- Savanna Wholesale (Business-to-Business Marketplace)
- Savanna Marketplace (Business-to-Consumer Marketplace)
- Savanna Pay
- Savanna Logistics
- Any future products, mobile applications, APIs, websites, software, or digital services provided by Savanna Trade.
By registering an account, browsing, purchasing products, selling goods, using our payment services, or otherwise accessing any of our platforms, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and all applicable policies referenced herein.
If you do not agree with these Terms, you must discontinue using our services immediately.
Savanna Trade SARL is headquartered in Douala, Republic of Cameroon, and operates as a digital marketplace connecting African businesses with buyers and partners across the world.
2. Platform Eligibility and User Accounts
Savanna Trade welcomes businesses and individuals engaged in legitimate commercial activities.
Our platform serves several categories of users, including:
- Manufacturers
- Suppliers
- Wholesalers
- Distributors
- Exporters
- Importers
- Retailers
- Small and Medium Enterprises (SMEs)
- Large Corporations
- Government institutions
- Individual consumers purchasing through Savanna Marketplace
Users must be at least 18 years of age or possess the legal authority to enter into binding contracts under applicable law.
By creating an account, you represent that all information provided is accurate, current, and complete.
You agree to promptly update your account whenever your information changes.
Savanna Trade reserves the right to reject, suspend, or terminate any account containing false, misleading, fraudulent, or incomplete information.
3. Business Verification
To promote trust and transparency, Savanna Trade operates a business verification program.
Businesses seeking enhanced credibility or premium membership may be required to submit documentation such as:
- Certificate of Incorporation or Business Registration
- Tax Identification Number (where applicable)
- Business License
- Government-issued identification
- Company address verification
- Bank account verification
- Any additional documentation reasonably requested by Savanna Trade
Successful verification may result in the assignment of a Verified Seller or Gold Supplier badge.
Verification does not constitute an endorsement, guarantee, or warranty regarding a seller’s financial status, product quality, or future business conduct.
4. User Responsibilities
Every user agrees to use Savanna Trade responsibly and lawfully.
Users shall not:
- Publish false or misleading information.
- Sell prohibited, counterfeit, stolen, or illegal products.
- Violate intellectual property rights.
- Manipulate prices or marketplace rankings.
- Attempt unauthorized access to platform systems.
- Use automated software to scrape platform data.
- Harass, threaten, or abuse other users.
- Engage in fraudulent transactions.
- Circumvent Savanna Pay for transactions initiated through the platform.
Users remain solely responsible for all content, listings, communications, and commercial activities conducted through their accounts.
5. Product Listings
Sellers are responsible for ensuring that all listings accurately describe their products or services.
Each listing should include:
- Accurate product title
- Product description
- Images
- Pricing
- Quantity available
- Product specifications
- Country of origin
- Delivery information
Savanna Trade reserves the right to remove listings that violate platform policies or applicable laws.
6. Savanna Pay Escrow Services
To promote secure transactions and minimize commercial risk, eligible marketplace transactions may be processed through Savanna Pay, our secure payment and escrow solution.
The standard transaction process includes:
- The buyer places an order.
- Payment is submitted using an approved payment method.
- Funds are securely held pending completion of the transaction.
- The seller prepares and ships the goods.
- The buyer confirms receipt and acceptance, or the transaction is otherwise completed in accordance with platform procedures.
- Funds are released to the seller, subject to applicable deductions such as transaction fees.
Savanna Trade may delay or suspend the release of funds where there is a reported dispute, suspected fraud, legal requirement, security concern, or compliance review.
Savanna Trade is not a banking institution and does not provide traditional banking or investment services.
7. Fees, Memberships and Payments
Certain services offered through Savanna Trade may require payment.
These may include:
- Premium Memberships
- Gold Supplier subscriptions
- Advertising packages
- Featured listings
- Promotional campaigns
- Transaction commissions
- Logistics services
- Warehousing services
- Value-added business services
Transaction commissions may vary depending on product category, transaction size, promotional agreements, or other commercial factors.
Unless otherwise stated, subscription fees and advertising payments are non-refundable.
Savanna Trade reserves the right to modify its pricing structure at any time, with changes becoming effective upon publication.
8. Logistics Services
Savanna Logistics provides transportation, warehousing, fulfillment, and delivery support for participating users.
Services may include:
- Local deliveries
- Regional shipping
- International freight
- Warehousing
- Customs coordination
- Cargo consolidation
- Last-mile delivery
Delivery timelines are estimates only.
Actual delivery may vary due to customs inspections, transportation delays, weather conditions, border procedures, or circumstances beyond our reasonable control.
Users remain responsible for ensuring accurate shipping information.
9. Customs and International Trade Compliance
International trade is subject to various customs regulations and import/export restrictions.
Sellers remain solely responsible for ensuring that:
- Products comply with destination-country regulations.
- Customs declarations are accurate.
- Export licenses are obtained where required.
- Restricted goods are not listed.
- Product documentation is complete.
Buyers remain responsible for applicable import duties, customs fees, taxes, inspections, and other governmental charges unless otherwise agreed.
Savanna Trade accepts no responsibility for customs seizures, delays, penalties, or confiscation arising from inaccurate or unlawful documentation.
10. Intellectual Property
All trademarks, logos, software, graphics, text, databases, and website content belonging to Savanna Trade remain our exclusive intellectual property unless otherwise indicated.
Users may not reproduce, distribute, copy, modify, reverse engineer, or commercially exploit any portion of the platform without prior written consent.
Users retain ownership of the content they upload but grant Savanna Trade a worldwide, non-exclusive, royalty-free license to display, reproduce, and promote such content for marketplace operations and marketing.
11. Prohibited Activities
Users must not:
- Engage in fraud or deceptive conduct.
- Sell prohibited or illegal goods.
- Infringe copyrights or trademarks.
- Send spam or unsolicited communications.
- Interfere with platform security.
- Upload malware or malicious software.
- Misrepresent company identity.
- Circumvent payment procedures.
- Manipulate reviews or ratings.
Violation of these rules may result in immediate suspension.
12. Dispute Resolution
Savanna Trade encourages buyers and sellers to resolve disputes through direct communication whenever possible.
Where resolution cannot be reached, users may request platform assistance.
Our dispute resolution team may review:
- Order records
- Payment records
- Shipping information
- Delivery confirmation
- Communications between parties
- Supporting documentation
Our review aims to facilitate a fair outcome but does not replace legal proceedings where applicable.
13. Limitation of Liability
To the fullest extent permitted by law, Savanna Trade shall not be liable for:
- Lost profits
- Business interruption
- Data loss
- Delayed deliveries
- Third-party misconduct
- Product defects
- Payment network failures
- Internet outages
- Mobile money disruptions
- Government restrictions
- Currency fluctuations
- Customs delays
Our total liability arising from any claim shall not exceed the amount of fees actually paid to Savanna Trade for the transaction giving rise to the claim, unless otherwise required by law.
14. Force Majeure
Savanna Trade shall not be responsible for failure or delay in performing its obligations where such delay results from events beyond our reasonable control.
These include but are not limited to:
- Natural disasters
- Floods
- Fire
- Pandemics
- War
- Civil unrest
- Terrorism
- Government actions
- Labor strikes
- Internet failures
- Telecommunications disruptions
- Electrical outages
- Banking interruptions
- Mobile money outages
Performance will resume once the affected circumstances have ended.
15. Suspension and Termination
Savanna Trade reserves the right to suspend, restrict, or permanently terminate any account where we reasonably believe a user has:
- Violated these Terms.
- Engaged in fraudulent activity.
- Submitted false documentation.
- Circumvented Savanna Pay.
- Abused platform services.
- Violated applicable laws.
- Threatened platform security.
Where appropriate, escrow funds may be temporarily withheld pending investigation.
Termination does not release users from outstanding financial or legal obligations.
16. Privacy
Your personal information is handled in accordance with our Privacy Policy.
By using our services, you consent to the collection, processing, storage, and use of your information as necessary to operate the marketplace, process payments, provide customer support, improve services, prevent fraud, and comply with legal obligations.
17. Changes to These Terms
Savanna Trade may update these Terms from time to time to reflect changes in our services, technology, legal requirements, or business operations.
Updated Terms become effective immediately upon publication unless otherwise stated.
Continued use of the platform after changes are published constitutes acceptance of the revised Terms.
18. Governing Law and Jurisdiction
These Terms shall be governed by and interpreted in accordance with the laws of the Republic of Cameroon, including applicable OHADA regulations and other relevant laws governing electronic commerce and commercial transactions.
Any dispute that cannot be resolved amicably shall be submitted to the competent courts of Douala, Cameroon, unless otherwise required by mandatory law.
